By downloading, installing, or using Tukhe (the "Software"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, do not use the Software.

Tukhe is developed and operated by Tukhe, a SAS (Simplified Joint-Stock Company) registered in France.

Tukhe is a portfolio analytics software that operates entirely on your local machine. The Software connects directly from your device to your broker APIs, enabling you to aggregate, visualize, and analyze your own portfolio data locally.

What Tukhe Does:

• Establishes direct connections from your computer to your broker APIs using credentials you provide and control
• Aggregates portfolio data from multiple broker accounts into a unified view
• Provides analytical tools to help you visualize and understand your portfolio
• Processes and stores all data locally on your device

What Tukhe Does NOT Do:

• Execute, facilitate, recommend, or intermediate any financial transactions
• Act as a broker, financial intermediary, investment advisor, or custodian
• Store your portfolio data, credentials, or personal information on external servers
• Access transaction capabilities or trading functions through broker APIs
• Provide personalized financial, investment, legal, or tax advice
• Act as a data provider or substitute for your broker's services

Critical Understanding: Tukhe is a local data visualization and organization tool. The Software operates similarly to spreadsheet applications or personal finance software—it helps you organize and analyze data that you already have access to through your existing broker relationships. All broker API connections are established directly from your device to your broker's servers - Tukhe does not intermediate, proxy, or relay this communication. Your credentials are stored exclusively in your operating system's secure credential storage.

Data Access: The data available through Tukhe is entirely dependent on your individual broker contracts and data access rights. If your broker provides delayed data (e.g., 15-minute delayed quotes), Tukhe will display that delayed data. If your broker provides real-time data, Tukhe will display real-time data. Tukhe does not enhance, accelerate, or modify the data access conditions established in your agreements with your brokers. You are responsible for understanding and complying with the terms of your broker agreements regarding API access and data usage.

This architectural design means Tukhe operates outside the scope of financial services regulations such as MiFID II, PSD2, and IOBSP, as we do not intermediate, custody, process financial transactions, provide financial services, or act as a data provider.

3.1 Software License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, solely for your personal portfolio analysis purposes.

3.2 License Restrictions

You may not:

• Redistribute, sublicense, rent, lease, or lend the Software
• Reverse engineer, decompile, or disassemble the Software (except as permitted by applicable law)
• Use the Software for any commercial purpose or on behalf of third parties
• Remove or alter any proprietary notices or labels on the Software
• Use the Software in any manner that violates applicable laws or regulations

4.1 Service Tiers

Tukhe offers both free and premium subscription tiers. Premium subscriptions unlock additional analytical features and enhanced functionality. Specific feature availability is described on our website and may change over time.

4.2 Subscription Terms

• Premium subscriptions are billed monthly or annually in advance, as selected at purchase
• Prices are displayed in Euros (EUR) and include applicable VAT
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through the process described in Section 10.1
• Cancellation takes effect at the end of the current billing period

4.3 Payment Processing

Payments are processed securely through Stripe, Inc., a PCI-DSS Level 1 certified payment processor. We do not store your payment card information. Stripe requires an email address for payment receipts and maintains subscription records in accordance with their Privacy Policy and GDPR obligations.

4.4 Refund Policy

In accordance with EU consumer protection laws, you have the right to withdraw from your purchase within 14 days of the initial subscription purchase. To exercise this right, contact contact@tukhe.io within the 14-day period.

Beyond the statutory 14-day withdrawal period, no refunds are provided for subscription fees, including for partial billing periods or early cancellation.

4.5 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will be communicated with 30 days advance notice and will not affect your current subscription period. New prices will apply upon your next renewal.

5.1 Broker Credentials & API Access

• You are solely responsible for maintaining the confidentiality and security of your broker API credentials
• You must ensure you have proper authorization from your broker(s) to use API connectivity
• You acknowledge that broker API access is subject to the terms and conditions of your agreements with your broker(s)
• You are responsible for understanding and complying with your broker's API usage policies, data access rights, and any associated fees or limitations
• Tukhe is not responsible for any unauthorized access to your broker accounts resulting from your failure to secure your device or credentials
• Tukhe is not responsible for any violations of your broker agreements regarding API usage

5.2 Data Accuracy & Verification

• You are responsible for verifying the accuracy of all data displayed in the Software
• Tukhe displays data as received from broker APIs without modification or validation
• You acknowledge that broker data feeds may contain errors, delays, or omissions
• You should always cross-reference important financial information with official statements from your brokers
• Tukhe is not liable for investment decisions made based on data displayed in the Software

5.3 Lawful Use

You agree to use the Software only for lawful purposes and in compliance with all applicable laws and regulations, including but not limited to tax reporting obligations, securities regulations, and the terms of service of your broker(s).

6.1 Local Data Storage

All portfolio data, broker credentials, and analysis performed by Tukhe is stored exclusively on your local device. We do not have access to, collect, transmit, or store your portfolio data, broker credentials, or financial information on external servers.

6.2 Anonymous Usage Analytics

To improve the Software, we collect limited, anonymized usage data that cannot be linked to your identity:

• Application launch events and session duration statistics
• General feature usage patterns (anonymized and aggregated)
• Broker integrations being used (without account identifiers or financial data)
• Software version and operating system information
• Crash reports and error logs (automatically stripped of personal and financial data)

This analytics data does not include:

• Your portfolio holdings, positions, or transactions
• Your broker account numbers or credentials
• Your personal identifying information
• Your financial data of any kind

You may opt out of analytics collection at any time through the Software's privacy settings. Opting out does not affect the functionality of the Software.

6.3 Privacy Policy

Our complete data practices are described in our Privacy Policy, which is incorporated into these Terms by reference.

7.1 No Financial Advice

TUKHE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. The Software provides data visualization and analytical tools only. You are solely responsible for all investment, financial, and tax decisions. Any analytical features, metrics, or calculations provided by the Software are informational tools, not recommendations or advice.

You should consult qualified financial, tax, and legal advisors before making financial decisions.

7.2 Data Accuracy & Broker Dependencies

• Tukhe displays data as provided by third-party broker APIs over which we have no control
• We do not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed in the Software
• Data availability and quality depend entirely on your broker's API services and your data access rights under your broker agreements
• Broker APIs may experience downtime, rate limiting, errors, or data delays beyond our control
• You acknowledge that broker API functionality may change or be discontinued by brokers without notice to us
• Tukhe is not responsible for any delays in data (including 15-minute delayed quotes or other restrictions imposed by your broker)

7.3 Software Provided "AS IS"

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, OR ACCURACY OF DATA.

We do not warrant that:

• The Software will meet your specific requirements
• The Software will operate without interruption or errors
• Data displayed will be accurate, complete, or current
• Broker API integrations will remain functional

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Tukhe shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, investment losses, or trading losses
• Our total liability for any claims arising from your use of the Software shall not exceed the amount you paid for your subscription in the 12 months preceding the claim
• We are not liable for losses resulting from: broker API failures or changes; data inaccuracies or delays; unauthorized account access due to your security practices; your investment or financial decisions; violations of your broker agreements; or interruptions in broker services

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded or limited under French law or applicable EU consumer protection laws.

8.1 Ownership

The Software, including all code, designs, trademarks, algorithms, and documentation, is owned by Tukhe and protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"Tukhe" and associated logos are trademarks of Tukhe. You may not use our trademarks without prior written permission.

8.3 User Data

You retain all ownership rights to your portfolio data. By using the Software, you do not grant us any rights to your data, as it remains stored exclusively on your device under your control.

9.1 Updates

We may release updates, patches, or new versions of the Software. Some updates may be automatically installed to maintain security and functionality. Continued use of the Software after an update constitutes acceptance of the updated version.

9.2 Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification or email (if you have provided one for subscription purposes) with 30 days advance notice. Continued use of the Software after changes take effect constitutes acceptance of the modified Terms.

9.3 Feature Changes

We may add, modify, or discontinue features at our discretion. While we strive to maintain premium features for subscribers, we do not guarantee that any specific feature will remain available indefinitely.

10.1 Termination by You

For Free Tier Users:
You may stop using the Software at any time by uninstalling it from your device. No account deletion is necessary as Tukhe does not create user accounts or collect personal data.

For Premium Subscribers:
Tukhe uses a license key activation system. When you purchase a premium subscription, you receive a unique license key to activate premium features in the Software.

Privacy Architecture: Tukhe does not collect your email during purchase. Stripe, our payment processor, requires an email for payment receipts and stores it in accordance with their Privacy Policy and GDPR obligations. Our system and Stripe's system are linked only through an internal customer identifier. We store only your license key and its validity status.

IMPORTANT: Save your license key from the purchase confirmation page. You can recover it later if needed using the process below.

To cancel your subscription:

1. Visit tukhe.app/manage
2. Enter the email address you used for payment
3. We will send a verification code to that email address
4. Enter the verification code to access your subscription
5. Confirm cancellation

Upon confirmation, your subscription will be cancelled in Stripe's system and your license key will be deactivated in our system. Your license key and premium features remain accessible until the end of the current billing period.

10.2 Termination by Us

We may suspend or terminate your access to the Software immediately if:

• You breach these Terms
• You engage in fraudulent activity or abuse of the Software
• Required by law or regulatory authority
• You fail to pay subscription fees

We are not required to provide advance notice of termination, though we may do so at our discretion.

10.3 Effect of Termination

Upon termination:

• Your license to use the Software ends immediately
• Premium features become inaccessible
• Data stored locally on your device remains under your control
• No refunds are provided except as required by law under Section 4.4

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts of Paris, France.

11.3 EU Consumer Rights

If you are a consumer in the European Union, nothing in these Terms affects your statutory rights under EU consumer protection laws, including:

• The right to withdraw from distance contracts within 14 days
• Rights regarding defective digital content
• Rights to fair contract terms under consumer protection directives

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tukhe regarding the Software.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Language

These Terms are provided in English and French. In case of discrepancies between versions, the French version shall prevail.
